1. Right to Modify and Discontinue
TalksOnLaw reserves the right, at its discretion, to change, modify, add, or remove portions of these Terms at any time. We further reserve the right, temporarily or permanently, to modify or discontinue the Website; charge, modify, or waive fees in connection with the use of the Website; or offer opportunities to some or all users. You agree that TalksOnLaw shall not be liable to you or any third party for any such modification, suspension, or discontinuance.
2. Educational Purpose; No Attorney-Client Relationship
Not a Law Firm
TalksOnLaw is an educational platform, not a law firm. We do not provide legal services or legal advice.
No Reliance
Content—including video interviews, lectures, explainers, and CLE programming—is provided solely for general informational purposes. Laws change frequently and vary by jurisdiction. Never substitute Website content for the advice of a qualified attorney licensed in your area.
No Relationship
Use of the Website or communication with our staff/speakers does not create an attorney-client relationship.
3. CLE Programs & Accreditation
User Responsibility
You are solely responsible for verifying that a course qualifies for credit in your specific jurisdiction.
Accuracy
We make reasonable efforts to maintain accreditation, but we do not guarantee that any program will meet your individual state bar requirements.
Single Credit
You may only claim CLE credit once per course. You are responsible for maintaining your own copies of CLE certificates; TalksOnLaw does not guarantee permanent storage of certificate records.
4. Membership, Billing & Refunds
Auto-Renewal
Annual memberships renew automatically. You authorize TalksOnLaw to store your payment method and charge it annually on your anniversary date. You may opt out at any time by emailing info@talksonlaw.com.
Refunds
72-hour refund window for à la carte purchases, provided no CLE credit has been claimed. No refunds are issued once a certificate is generated.
Account Security
You are responsible for all activity under your unique credentials. Sharing accounts is prohibited.
5. Intellectual Property & Prohibited Use
Defined Content
All materials on the Website—including articles, images, designs, icons, photographs, videos, audio recordings, transcripts, and written materials (collectively, “Content”)—are protected by copyright and owned or licensed by TalksOnLaw.
Restrictions
You may not copy, record, screen-grab, or redistribute Content.
AI/Scraping
Use of bots, scrapers, or “crawlers” is strictly prohibited. You may not use Website Content to train artificial intelligence or machine learning models.
6. Limitation of Liability & Indemnity
“As-Is” Basis
The Website is provided without warranties of any kind, express or implied.
Liability Cap
To the fullest extent permitted by law, TalksOnLaw’s total liability shall not exceed the amount paid by you for access to the Website.
Indemnification
You agree to indemnify and hold harmless TalksOnLaw from any claims, losses, or expenses (including attorneys’ fees) arising from your violation of these Terms.
7. Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of New York.
Venue
Any disputes shall be brought exclusively in the state or federal courts located in New York County, New York.
Class Action Waiver
You agree to resolve disputes only on an individual basis and waive any right to participate in a class-action lawsuit or class-wide arbitration.
